End User Licence Agreement

This End User Licence Agreement (“Agreement”) governs the use of all font software provided by Tomas Brousil — Suitcase Type Foundry (“Suitcase Type”, “we”, “us”, “our”).
By purchasing, downloading, installing, or using the font software, the licence holder agrees to the terms of this Agreement.
This Agreement is intended to be clear, practical, and compatible with contemporary professional design workflows.

1. Definitions
For the purpose of this Agreement, “Font Software” means all font files, variable fonts, glyph data, OpenType features, source data, metrics, documentation, and related digital assets supplied by Suitcase Type.
The Licence Holder may generate static instances from licensed variable fonts for uses otherwise permitted under the applicable licence.
“Licence Holder” means the individual or legal entity purchasing or otherwise lawfully obtaining a licence.
“User” means any individual who installs, accesses, or actively uses the Font Software.
“Commercial Work” means any work created for commercial purposes, for clients, for paid services, for advertising, for public distribution, or in connection with a business activity.
“Client” means any third party for whom the Licence Holder creates work.
“External Collaborator” means freelancers, contractors, consultants, production studios, or temporary partners working on behalf of the Licence Holder.
“Website” means a publicly accessible digital service accessed through a web browser.
“Application” means software products including mobile apps, desktop software, SaaS platforms, games, or interactive digital environments.
“Broadcasting” means moving image distribution including television, streaming, film, advertising, digital out-of-home systems, and live graphics.
“Trademark Use” means the use of the Font Software for logos, wordmarks, visual identities, or legally protected branding assets.
2. Licence Grant
Subject to compliance with this Agreement, Suitcase Type grants the Licence Holder a non-exclusive, non-transferable licence to use the Font Software according to the applicable licence type, subject to termination only in the event of material breach of this Agreement.
The licence is granted only for the scope explicitly purchased.
Any use not expressly permitted under this Agreement requires prior written approval.
The Licence Holder may make reasonable backup copies of the Font Software for archival and security purposes.
2.1 Licence Types
2.1.1 Trial Licence
Trial Licences are provided exclusively for internal evaluation purposes. The Licence Holder may test the Font Software, create internal mockups, prepare pitches and presentations, evaluate technical compatibility, and assess suitability before purchase.
Trial Licences may not be used for Commercial Work, public campaigns, products for sale, or commercial final deliverables.
Trial Licences may be used for non-commercial educational and student projects, including public presentation or publication, provided that the name of the typeface and Suitcase Type Foundry are clearly credited in connection with the work.
The Font Software may not be distributed to clients or third parties.
Suitcase Type reserves the right to revoke Trial Licences at any time.
2.1.2 Desktop Licence
Desktop Licences allow installation of the Font Software on local computers for the creation of static images and documents for print and screen.
Desktop Licences are calculated by the number of computers on which the Font Software is installed for use.
The Licence Holder may install the Font Software on desktop computers, use the Font Software in design applications, create print and digital artwork, produce editorial and publishing work, develop packaging and advertising materials, create PDFs and presentations, produce static digital graphics, and create Trademark Use materials.
Desktop Licences permit embedding of the Font Software into non-editable PDF documents.
Desktop Licences do not permit website embedding, app embedding, server deployment, SaaS distribution, template redistribution, or public access to installable font files.
Agencies and studios may use the Font Software for client projects. If editable files containing the Font Software are transferred to a Client, the Client must obtain their own licence.
2.1.3 Web Licence
Web Licences allow the use of the Font Software on Websites by hosting font files on a server.
Web Licences are valued by the number of monthly unique visitors unless otherwise agreed in writing.
Traffic measurements may be based on any reasonable industry-standard analytics system.
The Licence Holder may self-host webfont files, use approved webfont hosting providers, embed fonts using CSS @font-face, and use the Font Software in responsive Websites.
Web Licences do not permit use in Applications, distribution of installable font files, or conversion of desktop fonts into webfonts without authorisation.
Internal SaaS interfaces used solely by the Licence Holder and its authorised Users may be permitted within the licensed scope.
However, Web Licences do not permit end-user editable access to the Font Software through online design tools, template systems, content-generation platforms, or comparable services where third parties may directly manipulate or access the Font Software.
Reasonable technical measures must be used to prevent unauthorised extraction of the webfonts.
2.1.4 App Licence
The Font Software may be used in Applications for desktop and mobile platforms.
App Licences are charged according to the number of downloads or users unless otherwise agreed in writing.
App Licences allow embedding of the Font Software in Applications or sharing the Font Software through online Applications.
The Licence Holder may embed the Font Software into Applications, distribute Applications commercially, use the Font Software in software interfaces, and use the Font Software in games and interactive products.
App Licences do not permit extraction of installable font files, redistribution of the Font Software outside the licensed Application, or use in editable font-creation systems.
The Licence Holder must use reasonable technical protection against unauthorised extraction.
2.2 Licence Extensions
Certain uses require additional licensing extensions.
2.2.1 ePub Licence Extension
The ePub Extension permits embedding of the Font Software into digital publications.
Examples include EPUB publications, digital magazines, digital books, and interactive editorial content.
The Licence Holder may embed the Font Software into digital publications, subset the Font Software where technically necessary, and distribute such publications commercially.
The ePub Extension does not permit Application embedding, Website embedding, or standalone redistribution of the Font Software.
2.2.2 Unlimited Licence
Unlimited Licences are custom agreements intended for organisations requiring broad internal use across multiple departments, brands, territories, or platforms.
Such agreements may include unlimited Users, unlimited pageviews, global deployments, cloud infrastructure, internal server use, multi-brand environments, and other extended usage rights agreed in writing.
Unlimited Licences are governed by separate written agreements and supersede standard licensing limitations where expressly stated.
2.2.3 Trademark Licence Extension
Trademark Use is generally permitted under standard commercial licences.
However, where the Font Software itself becomes the primary identifying asset of a registered trademark, exclusive visual identity system, or large-scale global branding environment, the Licence Holder or the entity registering or operating such trademark or identity system is required to obtain an additional Trademark Licence Extension.
Suitcase Type may require an additional Trademark Licence Extension in connection with such use.
Suitcase Type reserves the right to assess large-scale or exclusive branding deployments individually.
2.2.4 Broadcasting Extension
The Broadcasting Extension permits use of the Font Software in moving image environments including television, film, streaming platforms, motion graphics, advertising, digital signage, and live broadcast systems.
The Licence Holder may create animated typography, use the Font Software in title sequences, and distribute audiovisual works worldwide.
The Broadcasting Extension does not permit distribution of editable font files to unlicensed third parties or permanent external access by production vendors without appropriate licensing.
2.3 Licence Purchase & Other Uses
All licences are granted only after full payment.
The Licence Holder is responsible for purchasing licences appropriate to the actual scope of use.
If the intended use exceeds the purchased licence scope, the Licence Holder must obtain an upgraded or additional licence.
Uses not covered under this Agreement may require custom licensing, enterprise licensing, OEM agreements, or separate written permission.
3. Ownership
All Font Software remains the exclusive intellectual property of Suitcase Type.
This Agreement grants only a licence to use the Font Software.
No ownership rights are transferred.
The Font Software is protected by copyright law, trademark law, unfair competition law, and international intellectual property treaties. All rights not expressly granted are reserved.
4. Designer / Licence Holder Relationship
Suitcase Type recognises that contemporary design practice frequently involves collaboration between agencies, independent designers, developers, publishers, production studios, consultants, and Clients.
The Licence Holder may share the Font Software with External Collaborators solely for work directly related to the Licence Holder’s projects. Such sharing must remain limited in scope and duration to the relevant project.
External Collaborators may use the Font Software only on behalf of the Licence Holder and may not use the Font Software for unrelated projects, independent commercial work, or personal purposes.
Upon completion of the project, External Collaborators must delete all copies of the Font Software unless they hold an independent licence.
Where a Client receives editable source files containing the Font Software, or where the Client independently continues using the Font Software after delivery of the work, the Client must obtain an appropriate licence directly from Suitcase Type.
Suitcase Type encourages fair and practical licensing workflows and does not seek to unnecessarily restrict ordinary professional collaboration.
4.1 Cloud Collaboration
The Licence Holder may upload the Font Software to secure cloud-based collaboration environments used as part of legitimate professional workflows.
Such services may include collaborative design platforms, internal asset management systems, cloud storage providers, and shared production environments.
Access to the Font Software must remain restricted to authorised Users and approved External Collaborators working within the licensed scope.
The Font Software may not be uploaded to publicly accessible repositories, public template systems, or unrestricted download services.
The Licence Holder remains responsible for ensuring that cloud-based access to the Font Software complies with this Agreement.
4.2 Agency and Client Workflow
Agencies, studios, and production partners may use the Font Software for commissioned client work under their own licence.
Deliverables may include static exports, outlined artwork, PDFs, images, motion graphics, and other non-editable outputs.
If a Client requires continued direct access to editable font files, editable design documents containing the Font Software, webfont deployments, app embedding, or any other ongoing use of the Font Software, the Client must obtain an appropriate licence.
The purchase of a licence by an agency does not automatically extend licensing rights to the agency’s Clients.
Internal transfers resulting from mergers, acquisitions, or corporate restructuring may be permitted upon written notification to Suitcase Type.
Likewise, a Client licence does not automatically extend to external agencies or production vendors unless expressly permitted under the applicable licence scope.
5. AI and Automated Systems
Without prior written permission from Suitcase Type, the Font Software may not be used to train, fine-tune, evaluate, or develop machine learning systems, generative AI systems, font-generation systems, handwriting synthesis systems, OCR systems, vectorisation datasets, synthetic typography systems, latent-space reconstruction systems, glyph extraction systems, or similar automated technologies.
The Font Software may not be included in datasets, repositories, training corpora, or automated asset collections intended for machine learning or algorithmic analysis.
The Licence Holder may not use the Font Software to generate derivative typefaces, competing font software, synthetic glyph systems, or automated font variations.
This restriction does not prohibit ordinary creative work produced using AI-assisted software tools, provided that the Font Software itself is not used as training material or redistributed in violation of this Agreement.
Any AI-related use beyond ordinary creative production requires separate written permission from Suitcase Type.
6. Modifications
Unless expressly authorised in writing, the Licence Holder may not modify the Font Software, create derivative font software, rename fonts, reverse engineer the Font Software, decompile the Font Software, convert the Font Software into alternative formats for unauthorised uses, or remove copyright information.
Reasonable technical subsetting and optimisation required for licensed deployment is permitted.
Custom modifications may be authorised through separate agreements.
7. Political and Special Use Cases
Suitcase Type reserves the right to refuse or terminate licences associated with unlawful activity, illegal hate speech, violent extremism, organised disinformation, fraud, sanctions violations, unlawful discrimination, or comparable activities incompatible with applicable law.
Suitcase Type does not claim ownership or editorial control over work created using the Font Software.
However, Suitcase Type reserves the right to dissociate its work from uses fundamentally incompatible with applicable law or basic principles of human rights.
8. Limitation of Liability
The Font Software is provided “as is”.
Suitcase Type makes no warranty that the Font Software will operate uninterrupted or error-free.
To the maximum extent permitted under applicable law, Suitcase Type shall not be liable for indirect damages, consequential damages, loss of profits, loss of business, loss of data, or interruption of operations arising from the use or inability to use the Font Software.
Nothing in this Agreement excludes liability that cannot legally be excluded under applicable law.
9. Termination
This Agreement remains effective until terminated.
Suitcase Type may terminate the licence if the Licence Holder materially breaches this Agreement.
Upon termination, the Licence Holder must cease all use of the Font Software, delete all copies, and cease distribution of unlicensed deployments.
Termination does not limit any other legal remedies available to Suitcase Type.
10. Governing Law
This Agreement is governed by the laws of the Czech Republic and applicable European Union law.
Any disputes arising under this Agreement shall be subject to the jurisdiction of the competent courts of the Czech Republic unless mandatory consumer protection law provides otherwise.
11. Final Provisions
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in effect.
Failure by Suitcase Type to enforce any provision of this Agreement shall not constitute a waiver of rights.
Suitcase Type may update this Agreement for future licensing transactions.Updated terms apply only to future purchases unless otherwise agreed.
Suitcase Type may in the future distinguish between standard retail licences and enterprise or custom agreements where broader operational, technical, or organisational requirements apply.
